Official Rules, Terms and Conditions

1. Description of the Games

OVERVIEW: The 7.TV Monthly CRĀV games commence on August 10, 2009, and will continue each subsequent calendar month until terminated by 7.TV, LLC ("Sponsor"). For a list of all active CRAV games, and unique rules and attributes of each campaign, please see the "How To Play" section, below.

The CRĀV games ("Games") are a series of repeating skill based activities in which players ("Players") can participate by viewing on televison, on the Internet or on authorized hosting web sites including www.7.TV, advertisements that pose questions to Players, which, if correctly answered, verify attention to the advertisements. Responses to questions can be made via the Internet on sites hosting the Games, or via text messaging.

Players will be eligible for each Month’s Prize by viewing a CRĀV -enabled ad. One prize pool is made available each calendar month. Players are allowed to enter up to 3 times each day (one entry of which may be via text messaging), and at the conclusion of the calendar month, one or more entries are selected from all submitted responses, during the Winner Selection Process. If an entry has answered the CRĀV question correctly, and has truthfully and completely submitted all required information, that Player shall become a winner. If the CRĀV question is NOT answered correctly, another entry shall be selected, until an entry is selected that has answered the CRĀV question correctly, and truthfully and completely submitted all required information. This process continues until all prizes are awarded.

PRIZE DETAILS: The Official Winners of each month’s 7.TV CRĀV Game will receive a limited edition Hot Wheels Remote Control Dodge Challenger (estimated retail value = $30.00). Sponsor will pay for all shipping costs. OCTOBER 2009 PRIZE LEVEL: up to 7 (seven) Winners. (All prizes will be awarded unless there are not sufficient correct answers submitted by qualifying Players).

2. Eligibility

The Games are open to legal U.S. residents who have reached the age of 18 in their state of residence. Void in Puerto Rico and where prohibited by law. Employees and Independent Contractors of 7.TV, LLC, FMTV Interactive, LLC, Jagged Peak, Inc., ResponDynamics, LLC, FMTV Productions, Inc., and their affiliates, subsidiaries, their advertising and promotional agencies, and members of their immediate families (parents, siblings, children and spouse, regardless of where they reside) are not eligible to win cash or prizes. Furthermore, employees of 7.TV, LLC, and their immediate families, are not eligible to win cash or prizes for a period of 12 months following the termination of employment.

3. How To Play

To play the patented reactive CRĀV game, you will be required to view the advertisement(s), pay close attention, and then answer a question at the conclusion of the CRĀV advertising period.

After the CRĀV ad(s) is broadcast or webcast, a multiple choice question about one or more of the preceding ads will be posted. The question will appear on screen after the ads. When viewed within a proprietary Reactive Media Player, and before the CRĀV question is removed from the screen, Players must have entered their choice, and fully and truthfully answered / filled in the remaining information that is requested. To officially enter the game, the Player must click the "Submit" button, indicating the Player’s acceptance of these Rules and the 7.TV Privacy Policy.

By clicking "No, Thanks" the Player's current entry will NOT be entered in the CRĀV drawing for that month.

When viewed on the Internet (via a traditional, non-reactive Media player) or on television, Players may enter by texting A, B, C or D to 40841. Note that there is a cost of $0.99 per message, and normal data charges may apply. Text messaging charges will be billed to a Player’s wireless phone bill or deducted from their prepaid balance. By texting an entry, Players confirm they have read and agreed to these Terms and Conditions, and are the owner of the phone or have permission of the owner to incur these charges. If a Player is under 18, Players confirm that they have parental permission and consent to incur these charges, and further acknowledge that they are NOT eligible, and are submitting for entertainment purposes only. After texting A, B, C or D to 40841, most Players will receive a standard rate text message to confirm the charges, before the entry is considered an Official Entry. In such instances, Players must reply 'Y' to accept.

OPT OUT: Text messaging Players may stop services at any time by sending a text 'STOP' to short code 40841. For information, text HELP to short code 40841.

Odds of being selected as a Respondent to a CRĀV prize drawing depends on the number of participants who answer the CRĀV question; however, once selected, the Player must have answered the CRĀV question correctly to win.

4. Acceptance Official Rules

As a condition of entry, participants fully and unconditionally agree to these Official Rules and to Sponsor's decisions, which are final and binding in all respects.

5. Void Entries and Registrations

Use of any automated system (e.g., robots, automatic, macro, programmed or like entry methods) or submission of multiple registrations or entries is prohibited. Any attempt by any player to use an automated system, to share a player's account so that multiple users are using one registered account, or to obtain more than one (1) entry or registration by using multiple/different email addresses, identities, registrations, or any other methods, will void all of that entrant's entries and render that person ineligible to receive any prize. Entry materials/data that have been tampered with or altered are void.

6. Entry Errors

Sponsor is not responsible for lost, late, incomplete, damaged, stolen, invalid, unintelligible or misdirected entries. Sponsor is not responsible if online service or equipment is interrupted including without limitation (1) interruptions to the 7.TV servers, Internet, Web site, telephone, computer or other connections (2) failures of any telephone, satellite, hardware, software or other equipment, (3) garbled, misdirected or jumbled transmissions, or traffic congestion, or (4) other errors of any kind, whether human, technical, mechanical or electronic, or (5) the incorrect or inaccurate capture of entry or other information or the failure to capture any such information.

7. Disputes

In the event of a dispute as to any entry, the authorized account holder, i.e., natural person, of the email address or wireless telephone number used to enter will be deemed to be the entrant. Potential winner may be required to show proof of identification. Sponsor may require that a potential winner provide prove that he/she is the authorized account holder of the e-mail address and/or username, or wireless telephone number associated with the winning entry, and reserves the right to validate and verify any prior answers or demographic registration data provided by the potential winner as a condition of awarding a prize. Providing false information to the Sponsor is grounds for disqualification.

8. Substitution; Taxes

No assignment or transfer of prizes will be permitted, except at Sponsor's sole discretion. Sponsor reserves the right to substitute a prize with one of comparable value or greater value. WINNERS ARE SOLELY RESPONSIBLE FOR ALL FEDERAL, STATE AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZE.

9. Potential Winner

(a) Verification. THE POTENTIAL WINNING CLAIMS ARE SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL. SPONSOR SHALL SOLELY DETERMINE ANY FORM OF VERIFICATION. A PLAYER IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL PLAYER'S ELIGIBILITY AND THE POTENTIAL WINNING ENTRY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.

"Prize Notices" will be delivered and potential winners will be notified via Email, or via regular mail or overnight mail sent approximately 1-5-days following the determination of the potential winner; text messaging winners will be notified via the wireless phone number from which the entry was submitted (via text notice as well as via telephone call from Sponsor). Players are responsible for insuring that all mailing and e-mail information is up-to-date and accurate. Prize notices returned as undeliverable, or winner notification text messages and/or voice mail messages that are not returned within five (5) business days, will result in the disqualification of the potential prize winner.

(b) Releases and Affidavits. As a condition of receiving a prize, a potential winner may be required to complete, sign and return an Affidavit of Eligibility, a Liability Release, requisite tax ID and tax withholding forms as deemed necessary by Sponsor, and, except where prohibited, a Publicity Release, within ten (10) days of the date stated on the prize notice. (c) Release. By participating in these Games or receiving a prize, Players agree to release and to indemnify and hold harmless Sponsor and its affiliates and Independent Contractors, as well as their officers, directors, employees and agents, for any liability, injury, death, loss or damages to entrant or any person or entity, including without limitation damage to personal or real property, caused in whole or in part, directly or indirectly, by participation in this Games (or related activities) or the acceptance, possession or use/misuse of a prize. By participating in these Games and accessing the website, users acknowledge and agree to release and to indemnify and hold harmless Sponsor and its affiliates and Independent Contractors, its company's officers, directors, employees share holders, members, managers and agents for any liability resulting from advertisers' claims and products contained on or webcast through the site. Users acknowledge that all advertising contained on site or via television broadcast originates from third party companies and 7.TV is not responsible for product warranties, claims, or performance.

(d) Publicity. Except where prohibited, participation in the Games constitutes consent to Sponsor and Promoter's and its or their agents' to use winner's name, likeness, voice, opinions and biographical information for publicity, advertising, trade or promotional purposes in any media or manner, now known or hereafter devised, worldwide, without further payment, consideration, notice or approval.

(e) Winning Frequency. Players may win only one (1) prize per month. Sponsor reserves the right to limit winners to no more than 12 times per year, and to allow only one mega-prize award (prizes or cash in excess of $9,999) once per year per Player or household, except for by-invitation tournaments.

10. Conditions of Participation

(a) Conduct. Prior to registration, Players shall review and shall acknowledge review and acceptance of Sponsor's User Agreement as a condition of registration and subsequent participation. Sponsor reserves the right in its sole discretion, to modify, cancel, terminate, and/or suspend the Games and these Rules and to disqualify any individual who tampers with the entry or Game play process, violates these official rules, or acts in a disruptive, obscene, vulgar or unsportsmanlike manner. Without limiting the foregoing, Sponsor may lock out an entrant who, in Sponsor's sole judgment, has been disqualified, has questionable eligibility or is otherwise ineligible to enter. CAUTION: A PERSON WHO ATTEMPTS DELIBERATELY TO UNDERMINE THE LEGITIMATE OPERATION OF THESE GAME CONTESTS OR TO ALTER OR DAMAGE A WEB SITE MAY BE SUBJECT TO CIVIL AND/OR CRIMINAL PENALTIES AND FINES; AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

(b) Incidents. Without limiting the foregoing, Sponsor may modify, cancel, terminate, and/or suspend a Game if, in Sponsor's sole opinion, an incident of any kind occurs to corrupt or impair the administration, security, integrity, fairness or play (as intended) of the Game, including without limitation: (a) viruses, bugs, unauthorized human intervention, fraud, excessive site traffic, or technical failure; or (b) earthquake, hurricanes, flood, fire, storm or other natural disaster, act of God; or (c) labor controversy or threat thereof, civil disturbance or commotion, disruption of the public markets, war or armed conflict (whether or not officially declared). In the event of a CRĀV ad segment termination, the Sponsor will make reasonable efforts that the prizes will be awarded from among all entries received online prior to termination.

11. Limitations of Liability

Sponsor is not responsible for: (1) any incorrect or inaccurate information, including inaccuracies in CRĀV ad questions or responses (whether caused by entrants, the Sponsor or its employees and contractors), printing errors or by any of the equipment, hardware, software or programming associated or used with the Games; (2) technical errors, defects, delays or failures of any kind, including without limitation malfunctions, interruptions or disconnections in communications lines, Internet or website access, hardware or software; (3) digital or electronic disruptions, e.g., viruses other security breaches; (4) unauthorized human intervention, e.g., hacking; (5) technical or human error which may occur in connection with any aspect of the Game Contests; (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from a player's participation in the Game Contests, access to, copying or downloading materials from Sponsor's website or any other website, or receipt or use of any prize.

12. Disputes/Choice Of Law.

Except where prohibited, each player agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Game or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by state or federal courts situated in Pinellas County, Florida (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys' fees; and (3) no punitive, incidental, special, consequential or other damages, including without limitation lost profits may be awarded (collectively, "Special Damages"), and (4) entrant hereby waives all rights to claim Special Damages and all rights to have such damages multiplied or increased. Florida law, without reference to a Player's choice of law rules, governs the Game and all aspects related thereto.

13. Privacy

Personally identifiable information that is submitted by entrants as part of this Game will be used to administer the Game, select prize winner and fulfill prize, and will be treated in accordance with Sponsor's privacy policy accessible on its website www.7.TV.
